Terms of Service

1. Agreement to Terms

By accessing or using Acorn ("the Service"), a product of Oakbridge Finance LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Acorn is a web-based application that extracts financial data from QuickBooks Online ("QBO") and generates structured Excel workbooks. The Service connects to your QBO account via Intuit's OAuth 2.0 authorization framework to retrieve your financial data.

3. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Free Trial and Subscription Plans

  • Free Trial: New accounts receive a 7-day trial of Pro features. After the trial period, your account will revert to the Basic (free) plan unless you subscribe to a paid plan.
  • Paid Plans: Pro and Plus plans are billed monthly per user. Pricing is listed at oakbridgefinance.com/acorn and is subject to change with 30 days' notice.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds: We do not offer refunds for partial billing periods.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to scrape, crawl, or overload the Service
  • Share your account credentials with others
  • Resell or redistribute the Service without our written consent

6. QuickBooks Online Integration

The Service connects to your QBO account through Intuit's authorized OAuth 2.0 framework. By connecting your QBO account, you authorize us to access your financial data solely for the purpose of generating reports through the Service. We do not modify, delete, or write any data to your QBO account — Acorn is strictly read-only. You may revoke Acorn's access to your QBO account at any time through the Acorn interface or through your Intuit account settings.

7. Data Ownership and Storage

Your financial data belongs to you. We do not claim ownership of any data extracted from your QBO account.

We do not store your financial data. Acorn extracts data from QBO in real time, generates your Excel workbook, and makes it available for download. Generated report files are deleted from our servers immediately after you download them. We do not retain copies of your financial reports. We do not maintain a database of your financial transactions, balances, or account details.

We do not sell, license, share, or monetize your financial data in any way. Your data is used exclusively to generate the reports you request. Period.

8. Accuracy of Outputs and User Responsibility

Acorn generates reports by extracting and reformatting data from QuickBooks Online. While we include built-in validation to help you verify the accuracy of extracted data, you are solely responsible for reviewing, verifying, and validating all outputs before relying on them for any business, financial, tax, legal, or investment decisions.

Oakbridge Finance LLC makes no warranty or guarantee regarding the accuracy, completeness, or reliability of any data extracted from QBO or any reports generated by the Service. The Service is a data extraction and formatting tool — it is not a substitute for professional accounting judgment, financial advice, or independent verification.

You acknowledge and agree that:

  • Data extracted by Acorn is only as accurate as the data in your QBO account
  • Custom account mappings are configured by you and may contain errors or omissions
  • You are responsible for verifying all reports against your source QBO data before using them
  • You will not hold Oakbridge Finance LLC responsible for any decisions, filings, reports, or actions taken based on Acorn's outputs
  • Acorn is not a replacement for professional accounting, auditing, or financial advisory services

9. Confidentiality

We understand that your financial data is confidential and sensitive. We treat all data accessed through your QBO connection as strictly confidential. Our team does not access, review, or examine your financial data unless you explicitly request our assistance and grant permission. All data in transit is encrypted via HTTPS, and all stored data is protected by row-level security policies that isolate each user's data from every other user.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service depends on third-party providers including Intuit (QBO API), Supabase, and Railway. Downtime may occur due to maintenance, updates, or circumstances beyond our control.

11. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Oakbridge Finance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Errors, inaccuracies, or omissions in extracted data or generated reports
  • Decisions made or actions taken based on data or reports generated by the Service
  • Loss of data, revenue, profits, or business opportunities
  • Business interruption or delays caused by Service unavailability
  • Unauthorized access to your account resulting from compromised credentials

Our total liability to you for any claim arising from your use of the Service shall not exceed the total amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Oakbridge Finance LLC, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or any decisions or actions taken based on data or reports generated by the Service.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes through the Service or by updating this page. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Your account data, including custom mappings and QBO connection tokens, will be deleted upon termination.

15. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Collin County, Texas.
